Finance is woven into most transactions in some form or other. At Hassans, we have both breadth and depth of experience in assisting all type of corporate and individual lenders, borrowers and other parties in the full spectrum of financial matters, including in project, real estate, asset and corporate finance or other lending scenarios, buyouts (by, amongst others, management, venture capital or private equity), as well as any related securitisation, regulatory, repatriation, divestment, restructuring or insolvency aspects. Our clients include major US and EU-based banks, other financial institutions and leading multinational borrowers, whom leverage our constructive, innovative and efficient approach (supplemented by our diverse range of experience with a wide variety of circumstances that we have actively worked through) to help them optimally navigate all pertinent legal, regulatory, tax and other applicable considerations.

By way of recent example, we have assisted with:

  • the redomiciliation by way of continuation of a Gibraltar licensed subsidiary of a leading bank from Gibraltar to Jersey.
  • all Gibraltar corporate, tax and security aspects of a GBP 1.4 billion refinancing of existing debt of a leading gaming company.
  • a substantial joint venture involving a Gibraltar entity in connection with the acquisition of commercial property in Germany (including various financing, security [and tax, regarding structuring and dividend flows] aspects relating thereto).
  • an extensive and complex release and retaking of security provided by Gibraltar entities acting as guarantors in the context of a refinancing as part of a Chapter 11 reorganisation (including advising on all pertinent Gibraltar insolvency and directors’ duties considerations).
