Hassans has played a significant part in the rapid growth of Gibraltar’s property market.
Hassans’ Property & Construction department has advised on some of the largest, high profile and significant projects in this market. We offer a full range of services in areas including sales and purchases of residential and commercial property, commercial and retail leases, financing, development & planning, construction, as well as dispute resolution pursuant to the terms of construction contracts and contentious landlord and tenant matters. Our legal practitioners’ depth and breadth of experience allows us to offer our clients the very best advice and guidance. Our clients – whether they are individuals, investors (often those with large portfolios and complex group structures), financing institutions, funds, developers, construction companies, landlords or tenants – choose us because we understand their objectives and offer the innovation, experience, technical expertise, clarity of advice and commitment to get their transactions completed effectively and efficiently. We offer in-depth practical experience and creative solutions to challenges with a transparent fee structure.
We have extensive experience acting for sellers and purchasers in all aspects of residential property in Gibraltar. Our expertise spans the range of properties from the affordable housing developments and tenders of ex-Ministry of Defence housing to off-plan apartments and luxury accommodation. We are on the panel to act for all banks and building societies in Gibraltar on residential mortgages and re-mortgages which benefits our clients in reducing overall legal costs. We strive to ensure that transactions proceed as smoothly and efficiently as possible whilst always keeping our clients informed and updated at every key stage when buying or selling a property.
Commercial and retail leases
Our commercial property team works with landlords and tenants across the board, when granting or taking commercial or retail leases, during their term and following their expiry. In particular, our experience with commercial and retail leases includes drafting and negotiating heads of terms and agreements for leases, lease renewals, lease terminations or surrenders, rent reviews, repairs, alterations and dilapidations, obtaining or granting landlord consent, assignments, subleases, management agreements and all other lease-related transactions. We regularly advise companies holding commercial and/or retail leases on the legal and costs implications of a change of shareholding and related tax considerations. We can also rely on the assistance of our dispute resolution colleagues in resolving disputes relating to Landlord and Tenant matters.
Development, Planning and Financing
We have a long history of working with clients across a range of different sectors – developers, lenders, investors, or tenant occupiers. We guide our clients through the myriad of legal and commercial issues involved in a development project working closely alongside public and private stakeholders. Our work generally involves: the purchase of freehold or leasehold interest in land for residential or mixed-use development; planning and construction law advice; funding aspects; off-plan pre-sales involving reservation agreements and agreements for lease; through to completion of underleases and release of security. We have extensive expertise acting for banks on lending on property located in Gibraltar, whether it is residential, commercial, mixed-use, freehold or leasehold property. Our work typically includes conducting property due diligence and reports on title, drafting and negotiating loan facilities and debentures, and advising on taking and granting of security over property, advising on property covenants, representations and warranties, repayment and release of security. Our track record illustrates our ability to seamlessly handle the multitude of commercial, residential financing and construction issues involved with these sorts of development projects to the very highest professional standards.
We have advised most of Gibraltar’s largest developers, as well as financial institutions, Her Majesty’s Government of Gibraltar and construction companies. We have been involved in over 90% of the developments which have been built in Gibraltar in the last 10 years. Our expertise ranges from advice on JCT/FIDIC contracts, to advising clients with any issues that arise during the planning phase, the construction phase or indeed post-construction.
